Taboola to acquire Dianomi for up to £27 million as it pushes deeper into finance advertising

The deal comes as Taboola faces weaker revenue growth but rising profitability, with part of the purchase price tied to Dianomi publishers adopting its commercial terms.

Taboola is buying its way deeper into finance and business advertising, agreeing to acquire London-listed ad-tech company Dianomi for up to £27 million as the Israeli company looks to expand its reach through its Realize performance advertising platform.
Dianomi shareholders will receive 64 pence in cash for each share, valuing the company at roughly £19 million, while a further payment of up to 24 pence per share will depend on whether a group of Dianomi publishers adopts key elements of Taboola’s standard commercial terms.

The upfront offer represents a 68% premium to Dianomi’s closing share price of 38.0 pence before the announcement. If the contingent payment reaches its maximum, shareholders would receive as much as 88 pence per share and the deal would be worth up to £27 million.
The acquisition is being carried out by Taboola Europe Limited through a court-sanctioned scheme of arrangement.
The move comes at an important point for Taboola. The company, founded and led by Israeli entrepreneur Adam Singolda, reported $476.8 million in second-quarter revenue in 2026, a 2.4% increase from a year earlier but below analysts’ expectations of $499.4 million. It subsequently lowered its full-year revenue forecast to $1.93 billion-$1.96 billion, from a previous forecast of $2.03 billion.
At the same time, profitability has been moving in the opposite direction. Adjusted EBITDA rose 22.8% in the second quarter to $55.5 million, while the adjusted EBITDA margin increased to 28.8% from 26.2% a year earlier. Taboola returned to a quarterly net profit of $4.3 million after reporting a $4.3 million loss a year earlier.
Its shares fell 26% following the results. Taboola currently has a market capitalization of about $995 million after gaining 18% over the past six months but remaining down 17% in 2026.
Against that backdrop, Dianomi gives Taboola a relatively targeted way to expand the part of its business where it sees particularly valuable advertising opportunities.
Dianomi specializes in finance, business and lifestyle content and works with more than 600 advertisers and publishers. Taboola said the acquisition would strengthen its position in premium finance-focused advertising, while generating expected revenue synergies and cost savings and potentially improving yields for publishers.
Taboola’s Realize platform reaches more than 600 million daily active users and works with publishers including NBC News and Yahoo. Adding Dianomi would give Taboola a more specialized network in areas where advertisers are seeking audiences with a strong interest in financial and business content.
